Terms of Service

Summary

The terms cover: scope (business customers only, no consumers), the subject matter (IPMA-based project delivery plus optional governed AI features — the assistant can prepare actions platform-wide; on the default trust level every writing action requires explicit human approval, tenants may allow automatic execution of reversible data changes, while payments, plan changes, erasure requests, approvals and external communication always require approval, and payments run only via the payment provider), conclusion of contract, service levels and availability, customer obligations (including responsibility for invited external contributors via expiring access links and for third-party integrations such as Jira, Teams, Confluence or webhooks), customers who bring their own AI provider keys (BYOK) contract with that provider themselves and are responsible for it, customers who authorise external AI agents set and supervise their rights, remuneration and payment via Mollie, term and termination, a limitation-of-liability regime (liability only for intent and severe gross negligence, capped at the fee of the current billing period, with personal injury and product liability unaffected), data protection (including the Data Processing Agreement under Art. 28 GDPR), and the governing law and jurisdiction.

Key payment and end-of-contract rules: on late payment we send a staged sequence of email reminders (payment reminder, dunning notice announcing the restriction date, final notice) before the account is switched to read-only — no earlier than 14 days after the due date; paying reactivates the account automatically. Cancellation takes effect at the end of the paid billing period (month or year) with no additional notice period. After the contract ends, the account stays in read-only mode for 30 days so you can export all data self-service; afterwards all tenant data is permanently deleted (invoices subject to statutory retention of 7–10 years are kept with restricted processing). Yearly plans carry a discount: if a yearly subscription is terminated early with a refund, the discount is reversed retroactively — months already started are charged at the regular monthly price and deducted from the refund; mandatory statutory withdrawal rights remain unaffected.

AI output and final responsibility

AI output (texts, plans, reports, assessments and actions executed after approval, on a higher trust level or by an authorised external agent) is a draft. We neither owe nor warrant accuracy, completeness, fitness for a particular purpose or any specific result. The customer reviews AI output before use and keeps the final responsibility for using it and for all decisions based on it. To the extent permitted by law, we accept no liability and give no warranty for the content of AI output or for damage from decisions based on it.

Before content is sent to a cloud AI provider we apply automatic pseudonymisation. It is a technical aid and does not detect every piece of personal data; we do not warrant complete or error-free pseudonymisation. The customer decides whether content may be sent to an AI provider and is responsible for that decision. With the customer's own provider key, processing at the AI provider is a matter between the customer and that provider; we are neither controller nor processor for it and, to the extent permitted by law, accept no liability for it towards the customer.

REGOLIO AI route (off by default): we may use an AI provider with our own key for a customer. It is unlocked per customer and used only once a customer administrator expressly approves it after a disclosure naming provider, endpoint, place of processing and price. The provider is our sub-processor, bound by a data processing agreement and a contractual exclusion of training on customer data; the approval is the specific authorisation under Art. 28 (2) GDPR. Usage is charged at the disclosed price plus VAT; a price change requires a new approval. Releasing the customer's own key replaces the route.
